Terms of Use

The terms that govern this website, what you may do with what is on it, and how they relate to any work we go on to do together.

1. Agreement to these terms

These Terms of Use (the “Terms”) govern your use of alphergmirai.com (the “Site”). By accessing or using the Site, you agree to them. If you do not agree, please do not use the Site.

Our Privacy Policy is incorporated into these Terms by reference.

The Site has no accounts, no sign-up and nothing to purchase. It describes what we do and gives you a way to reach us.

2. Who we are

AlphergMirai is a software studio that designs and engineers applications, platforms and systems. Contact details are in section 17 and on our contact page.

3. Eligibility

The Site is intended for businesses and for people of working age acting in a professional capacity. You must be at least 13 years old, or the higher minimum age that applies where you live, to use it. If you are under the age of majority in your jurisdiction, use the Site only with the involvement of a parent or legal guardian.

4. Acceptable use

You agree not to:

  • use the Site to break the law, infringe intellectual property, or violate anyone's privacy;
  • attempt to gain unauthorised access to the Site, its hosting or any connected system;
  • upload or transmit malware, or interfere with, overload or disrupt the Site;
  • scrape or bulk-download the Site except as a well-behaved search engine crawler;
  • use the contact form or our email addresses to send spam, bulk marketing or abusive messages;
  • copy the Site's design, text or code to pass off as your own.

5. Intellectual property

The Site — including its software, design, interfaces, text, graphics, animations and the AlphergMirai name and logo — is owned by AlphergMirai or its licensors and protected by copyright, trademark and other laws. Nothing in these Terms transfers ownership to you.

You may view and print pages for your own reference, and quote short extracts with attribution. Anything beyond that needs our written permission.

If you believe material on the Site infringes your copyright, send a notice with enough detail to identify the work and the material to legal@alphergmirai.com.

6. What you send us

You keep ownership of everything you send us. By sending a message you give us permission to read it, store it and use it for the purpose of replying and, if we go on to work together, of running that work. We treat commercially sensitive information as confidential, and we are happy to sign a non-disclosure agreement before you share anything you would rather protect formally.

Please do not send confidential material, credentials or personal information about other people through the contact form. Email, or a channel we agree, is the right place for that.

If you send us feedback, suggestions or ideas about our own work, we may use them freely and without obligation to you.

7. Third-party services and links

The Site links to and relies on services we do not control, including our host, our form provider and font and script delivery networks. We are not responsible for their content, practices or availability, and your use of any linked service is governed by its own terms and privacy policy.

8. Availability and changes

We work to keep the Site available and accurate, but we do not promise uninterrupted or error-free operation, and we may change, suspend or withdraw any part of it at any time without notice.

Descriptions of our services on this Site are for information. They are not an offer, a quotation or a commitment to perform work, and nothing here creates a contract for services.

9. Professional services

Consulting, design, development and maintenance work is governed by a separate written agreement, statement of work or proposal signed by both parties. Where such an agreement exists it prevails over these Terms for that engagement, including on ownership of deliverables, confidentiality, warranties and liability.

10. Software and products we publish

We build software of our own as well as for clients. Any application or product we release under the AlphergMirai name comes with its own licence terms and privacy notice, presented with that product. Those terms govern your use of it; these Terms govern only this website.

11. Disclaimer of warranties

To the maximum extent permitted by law, the Site is provided “as is” and “as available”, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy.

Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

12. Limitation of liability

To the maximum extent permitted by law, AlphergMirai and its directors, employees and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill or data, arising out of or related to your use of or inability to use the Site, on any legal theory, even if advised of the possibility.

Our total aggregate liability arising out of or relating to the Site is limited to JPY 10,000.

Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.

13. Indemnity

You agree to indemnify and hold AlphergMirai harmless from claims, damages, losses and reasonable legal costs arising from your breach of these Terms, your misuse of the Site, or your violation of the law or the rights of a third party.

14. Suspension of access

We may block or restrict access to the Site where use breaches these Terms, threatens its security or availability, or where the law requires it.

Sections that by their nature should survive — including sections 5, 6, 11, 12, 13, 15 and this sentence — survive any such action.

15. Governing law and disputes

These Terms are governed by the laws of Japan, without regard to conflict-of-law rules. The Tokyo District Court has exclusive jurisdiction as the court of first instance for any dispute arising out of or relating to these Terms or the Site.

If you are a consumer resident in the European Union, the United Kingdom or another jurisdiction whose law grants you the protection of mandatory local rules, nothing here deprives you of that protection or of the right to bring proceedings in your local courts.

16. Changes to these terms

We may update these Terms. The effective date at the top of this page reflects the current version. For material changes we will give reasonable notice on the Site before they take effect. Continuing to use the Site afterwards means you accept the updated Terms.
